These terms apply to all web design, SEO, digital marketing and automation services provided by Wollongong Web Design Co. By engaging our services, you agree to these terms.

1. About us

Wollongong Web Design Co (ABN 36 537 236 855) provides web design, SEO, Google Ads, Google Business Profile management, business automation and related digital marketing services. We are based at 1 Innovation Way, North Wollongong NSW 2500.

References to "we", "us" or "our" mean Wollongong Web Design Co. References to "you" or "client" mean the business or individual engaging our services.

2. Proposals and agreements

Work begins once both parties have agreed in writing (including by email) on the scope of work and pricing. Our written proposal or quote constitutes the basis of the agreement unless a separate contract is signed.

Any changes to scope requested after work has commenced may be subject to additional fees. We will always notify you of additional costs before proceeding.

3. Payment terms

Overdue invoices may attract interest at 10% per annum. We reserve the right to pause or suspend services on accounts more than 30 days overdue.

4. Your responsibilities

To allow us to deliver your project effectively, you agree to:

Delays caused by late provision of materials or feedback may affect agreed timelines. We are not liable for delays outside our control.

5. Intellectual property

Upon receipt of full payment, you own the final website design and content we create specifically for you. We retain ownership of any proprietary tools, frameworks, code libraries or templates used in the build.

You warrant that any content, images or materials you supply to us do not infringe the intellectual property rights of any third party. You indemnify us against any claims arising from content you have supplied.

We reserve the right to display the completed work in our portfolio and to credit ourselves as designers (e.g. a small footer credit or case study), unless you request otherwise in writing.

6. Third-party services

Some services involve third-party platforms including (but not limited to) Google, Formspree, Cloudflare, Shopify, WooCommerce, and various automation tools. We are not responsible for downtime, policy changes, fee increases or other changes made by these third parties.

Where a third-party platform requires its own subscription or account, you are responsible for maintaining that account and its associated costs unless otherwise agreed.

7. SEO and marketing results

We apply industry best practices to SEO, Google Business Profile and digital marketing campaigns, but we cannot guarantee specific rankings, traffic levels or revenue outcomes. Search engine algorithms change and results vary by industry and competition.

We will always act in good faith and report transparently on performance. If a campaign is not performing, we will discuss this with you and propose adjustments.

8. Website hosting and uptime

If we manage your hosting, we aim for maximum uptime but cannot guarantee 100% availability. Scheduled maintenance, hosting provider outages and force majeure events are outside our control.

For websites hosted on platforms we do not control (e.g. your own hosting account), we are not responsible for uptime or security.

9. Cancellation

Web design projects: The deposit is non-refundable if you cancel after work has commenced. If we have completed more than 50% of the project at time of cancellation, the full project fee is payable.

Monthly services: Either party may cancel ongoing monthly services with 30 days' written notice. You remain liable for fees during the notice period. No refunds are issued for partially used months.

We reserve the right to cancel an engagement if you breach these terms, fail to pay, or engage in conduct that we reasonably consider harmful or unethical.

10. Limitation of liability

To the maximum extent permitted by Australian law, our liability for any claim arising from our services is limited to the total fees paid by you in the three months preceding the claim.

We are not liable for indirect, incidental or consequential losses including loss of revenue, loss of data or loss of business opportunity.

Nothing in these terms excludes liability for fraud, personal injury caused by negligence, or any other liability that cannot be excluded under the Australian Consumer Law.

11. Australian Consumer Law

Our services come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have services remedied if they fail to be of acceptable quality and the failure does not amount to a major failure.

12. Governing law

These terms are governed by the laws of New South Wales, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of New South Wales.

13. Changes to these terms

We may update these terms from time to time. The current version will always be available at wollongongwebdesignco.com.au/terms/. Continued use of our services after an update constitutes acceptance of the revised terms.
